Terms of Service

1. Acceptance of Terms

By accessing or using the Insyte platform ("the Service"), operated by Insyte ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Insyte. Please read them carefully before using the Service.

2. Description of Service

Insyte is a B2B sales intelligence platform that provides company data, professional contact information, and AI-powered research tools designed to help sales teams identify and engage with prospects. The Service includes, but is not limited to:

  • Company search & discovery — Browse and filter businesses by industry, location, size, and other criteria.
  • Contact enrichment & verification — Access professional contact details including email addresses and phone numbers.
  • AI research agent — AI-powered company research and competitive intelligence.
  • Buying signals & alerts — Notifications about key business events and changes.
  • Data export — Ability to export data for use in your sales workflows.

Business data provided through the Service is aggregated from publicly available sources. We continuously update our database but do not guarantee that all information is complete, accurate, or current at all times. See Section 9 (Data Accuracy Disclaimer) for details.

3. Account Registration & Security

3.1 Registration

To access the Service, you must create an account by:

  • Signing in with Google OAuth (using your Google email and profile information), or
  • Registering with an email address and password, if available.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@insyte.ai if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscriptions, Credits & Payments

4.1 Subscription Plans

The Service is offered through subscription plans that include a monthly allocation of credits. Subscription details, pricing, and included features are described on our pricing page and may be updated from time to time.

4.2 Credit System

The Service operates on a credit-based system. Credits are consumed when you perform certain actions, including:

  • Contact reveals: 1 credit per contact
  • AI deep research reports: 10 credits per report

Credit costs for specific actions may be adjusted with prior notice. Monthly credit allocations reset at the start of each billing cycle and do not roll over to the next period unless explicitly stated in your plan terms.

4.3 Payment Terms

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).
  • All payments are processed securely through Stripe. You authorize us to charge your payment method on file for all applicable fees.
  • All fees are quoted in USD unless otherwise specified.
  • Failed payments may result in service suspension. We will attempt to notify you before suspending access due to payment failure.

4.4 Refund Policy

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a billing error or service issue, please contact us at support@insyte.ai within 14 days of the charge. Refund requests will be reviewed on a case-by-case basis.

4.5 Price Changes

We reserve the right to modify pricing for our subscription plans. We will provide at least 30 days' advance notice of any price increases. Price changes will take effect at the start of your next billing cycle following the notice period.

5. Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with these Terms and all applicable laws and regulations. Specifically, you agree not to:

  • Spam or unsolicited communications — Use data obtained from the Service to send unsolicited bulk emails, spam, or communications in violation of anti-spam laws (e.g., CAN-SPAM, GDPR).
  • Scraping or automated extraction — Use bots, scrapers, or automated tools to extract, download, or harvest data from the Service beyond normal use.
  • Reselling or redistribution — Resell, sublicense, redistribute, or make the data available to third parties as a standalone dataset or competing product, without our prior written consent.
  • Circumventing limits — Attempt to bypass, circumvent, or manipulate usage limits, rate limits, credit allocations, or security measures.
  • Reverse engineering — Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Illegal activities — Use the Service in connection with any illegal activity, including but not limited to fraud, harassment, stalking, or violations of privacy laws.
  • Impersonation — Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Interference — Interfere with or disrupt the Service, servers, or networks connected to the Service.

We reserve the right to investigate and take appropriate action against any violation of this Section, including suspending or terminating your account and reporting conduct to law enforcement authorities.

6. Data Usage & Compliance

You acknowledge that the business contact data provided through the Service is intended for legitimate B2B sales and marketing purposes. You agree to:

  • Comply with all applicable data protection and privacy laws (including GDPR, CAN-SPAM, and CCPA) when using data obtained from the Service.
  • Use contact information responsibly and only for professional outreach purposes.
  • Honor opt-out and unsubscribe requests promptly when contacting individuals using data obtained from the Service.
  • Not use the data to discriminate against, harass, or harm any individual.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, functionality, software, content, trademarks, and all related intellectual property, is owned by Insyte and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our prior written consent.

7.2 Your Content

You retain ownership of any content you upload or create within the Service (e.g., saved lists, notes, tags). By using the Service, you grant us a limited license to process and store your content solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

8. Confidentiality

Each party agrees not to disclose the other party's confidential information without prior written consent. Confidential information includes, but is not limited to, business plans, technical data, product roadmaps, and customer lists. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Data Accuracy Disclaimer

Business data provided through the Service is compiled from publicly available sources and may not always be complete, accurate, or up-to-date. While we make reasonable efforts to maintain data quality, we do not guarantee the accuracy, reliability, or completeness of any business information, contact details, or company data available through the Service.

You are solely responsible for verifying the accuracy of any data obtained through the Service before relying on it for business decisions. We shall not be liable for any loss or damage arising from inaccurate or incomplete data.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times.
  • The results obtained from using the Service will be accurate or reliable.
  • The Service will meet your specific requirements or expectations.
  • Any errors in the Service will be corrected within a specific timeframe.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSYTE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Insyte, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation, including data protection laws.
  • Your infringement of any third party's rights, including intellectual property or privacy rights.
  • Any misuse of data obtained through the Service, including sending unsolicited communications.

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at support@insyte.ai. Upon cancellation:

  • Your access to paid features will continue until the end of your current billing period.
  • Purchased credit packs remain available until used or until your account is deleted.
  • No refunds will be issued for unused time in the current billing period.

13.2 Termination by Us

We may suspend or terminate your account at any time if:

  • You violate these Terms or our Acceptable Use Policy.
  • Your payment method fails and is not resolved within a reasonable period.
  • We are required to do so by law or legal process.
  • We reasonably believe your account has been compromised.

We will provide reasonable notice before termination where possible, unless immediate action is required to protect the Service or other users.

13.3 Effect of Termination

Upon termination:

  • Your right to access the Service will cease immediately (or at the end of your billing period, if applicable).
  • We may delete your account data after 90 days following termination, unless retention is required by law.
  • Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 9, 10, 11, 12, and 14) shall continue in full force and effect.

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Notify you by email or through a prominent notice on the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Insyte regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, or third-party service disruptions.
